1. Acceptance of these terms
By accessing this website, submitting an enquiry, or otherwise communicating with Evergreen Path Alliance ("Evergreen Path," "we," "us," or "our"), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, please do not use this site or submit an enquiry.
2. What we are — and are not
Evergreen Path Alliance provides business consulting and advisory services to owner-led companies.
We are not a law firm, an accounting or tax practice, a registered investment adviser, a broker-dealer, or an insurance producer. Nothing we provide constitutes legal, tax, accounting, audit, securities or investment advice, and no attorney-client, accountant-client or fiduciary relationship is created by your use of this site or by an engagement with us.
Our work consists of analysis, recommendations, facilitation and implementation support. We advise; you decide. Every decision about your business remains yours, and you are responsible for the results of those decisions. Where a matter needs a licensed professional we will say so and recommend you engage one.
We are not responsible for your compliance with any law, regulation, licensing requirement, tax obligation or contractual duty that applies to your business.
3. Eligibility
You may use this site and submit an enquiry only if you are at least 18 years old, are located in the United States, and are the owner or an authorized representative of the business named in the application, with authority to submit its information. Our services are intended for commercial and business purposes only, not for personal, family or household purposes.
4. Engagements, scope and fees
Submitting the enquiry form does not create a consulting engagement. Any paid work is governed by a separate written services agreement or statement of work signed by both parties. If that agreement conflicts with these terms, it controls for the engagement it describes.
Scope. Each engagement's deliverables, timeline and fee are set out in the applicable statement of work. Work outside that scope is quoted and agreed in writing before it begins.
Fees. Fees are as stated in the statement of work. Unless it says otherwise, invoices are due within the period shown on the invoice, fees exclude applicable taxes and pre-approved expenses, and paid fees are non-refundable except as that agreement provides. We may pause work on past-due accounts after reasonable notice.
Your cooperation. Our work depends on timely access to your people, records and systems, and on decisions being made when the plan calls for them. Delays or inaccurate information on your side may affect timelines, deliverables and cost, and we are not responsible for outcomes attributable to them.
Termination. Either party may end an engagement as provided in the statement of work. On termination you remain responsible for fees and approved expenses incurred through the effective date.
Non-solicitation. During an engagement and for twelve months afterwards, neither party will directly solicit for employment any employee or contractor of the other who was materially involved in the work, except through general public job postings.
We act as an independent contractor. Nothing here creates a partnership, joint venture, agency or employment relationship, and we have no authority to make commitments on your behalf.
5. No guaranteed outcomes
We do not promise or guarantee any particular result — including increased revenue, improved margins, cost savings, growth, valuation or time saved. Business outcomes depend on execution, market conditions and many factors outside our control.
Any projections, models, forecasts or estimated impacts we prepare are planning tools built on assumptions and on information you provide. Actual results will differ, potentially materially, and these materials should not be relied on as predictions or presented to third parties as such.
Timeframes and engagement lengths shown on this site are illustrative examples rather than commitments, and any client outcomes described reflect individual circumstances at a particular time.
6. Confidentiality
We treat non-public information you share with us in connection with an engagement as confidential. We use it only to perform the services, and we do not sell it or disclose it to third parties for their own purposes.
We may share it with employees, contractors and subcontractors who need it to do the work and who are bound by confidentiality obligations at least as protective as these, and with service providers supporting our own operations such as hosting, email and document storage.
These obligations do not apply to information that is or becomes public through no fault of ours, that we already held without a duty of confidence, that we develop independently, or that we are required to disclose by law or valid legal process. Where permitted we will give you reasonable notice before a required disclosure.
We will sign a mutual non-disclosure agreement on request and typically do so before reviewing sensitive records. Where an NDA is in place its terms govern any conflict with this section. We will not name you as a client or use your name, logo or a testimonial in our marketing without your prior written permission.
We charge no fee for an initial consultation. Unless we disclose otherwise in writing at the time, we receive no compensation for referring you to any third-party provider.
7. Communications consent
By submitting an enquiry, you consent to be contacted by Evergreen Path and its subcontractors and service providers at the phone number and email address you provide, regarding your enquiry. This consent is required to process your request, and you may withdraw it at any time by contacting us — though we may then be unable to continue working on your file.
Text messages are separate and optional. The application form asks you to choose Yes or No. Choosing No, or choosing nothing at all, means we will not send you marketing or customer-care text messages, and it has no effect whatsoever on your application or the terms available to you. If you opt in, message frequency varies, message and data rates may apply, and you may reply STOP at any time to unsubscribe or HELP for help. Consent to receive text messages is not a condition of any purchase or service.
8. Acceptable use of the site
- Do not submit false, misleading or fraudulent information, or documents you are not authorized to share.
- Do not use the site to violate any law, or to infringe anyone's rights.
- Do not attempt to gain unauthorized access to the site, scrape it, or interfere with its operation.
- Do not use automated systems to submit applications or to send unsolicited communications.
We may suspend or refuse service to anyone who violates these terms.
9. Intellectual property and deliverables
This site. The content, design, text, graphics and code on this site are owned by Evergreen Path Alliance or its licensors and protected by intellectual property laws. You may view and print pages for your own business use. You may not copy, republish, sell or create derivative works from the site without our written permission.
Deliverables. Reports, financial models, documented processes, org designs, dashboards and similar work product prepared specifically for you under a statement of work become your property on payment in full of the fees for that engagement. You may use, modify and maintain them without further permission from us.
Our materials. We retain ownership of the methodologies, frameworks, templates, tools and know-how we bring to an engagement or develop generally, including anything embedded in a deliverable. We grant you a perpetual, non-exclusive, royalty-free licence to use those embedded materials as part of your deliverables for your own internal business purposes. You may not repackage, licence or resell them as a standalone product or service.
Your materials. You keep ownership of everything you give us and grant us a limited licence to use it to perform the services. We may use general knowledge, skills and experience gained during an engagement in later work, provided we disclose no confidential information about you.
10. Third-party sites, tools and providers
This site may link to third-party websites, and during an engagement we may recommend or help you configure third-party software and tools. We do not control them and are not responsible for their content, products, availability, pricing, security, terms or privacy practices.
Your relationship with any third-party provider — licensing, fees, data handling and support — is solely between you and that provider, and governed by their agreement with you. Review those terms before you proceed.
11. Disclaimers
This site and our services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the site will be uninterrupted, error-free or secure, or that any recommendation will produce a particular business result.
12. Limitation of liability
To the fullest extent permitted by law, Evergreen Path Alliance and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business opportunity or loss of data, arising out of or relating to your use of this site, any engagement, or any recommendation or deliverable. Our total aggregate liability for any claim relating to this site or our services will not exceed one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Evergreen Path Alliance from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of your use of the site, your breach of these terms, or information you submitted that was inaccurate or that you were not authorized to share.
14. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or this site will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing here limits any non-waivable rights you have under the law of your home state.
15. Changes to these terms
We may update these terms from time to time. Changes take effect when posted, and we will update the "Last updated" date. Your continued use of the site after a change means you accept the revised terms.
